General

1.1 These General Terms and Conditions apply to any offer by JVB Digital and to any agreement concluded between JVB Digital and consumers. The conditions are accessible to anyone and included on AVStyle’s website / JVB Digital. Upon request, we will send you a written copy.

1.2 By placing an order, you indicate your agreement with the terms of delivery and payment. JVB Digital reserves the right to change its delivery and/or payment terms after the expiration of the term.

1.3 Unless otherwise agreed in writing, the general or specific terms and conditions or stipulations of third parties are not recognized by JVB Digital.

1.4 JVB Digital guarantees that the product delivered complies with the agreement and meets the specifications stated in the offer.

Delivery

2.1 Delivery is made while supplies last.

2.2 Under the rules of distance selling, JVB Digital will execute orders at least within 30 days, unless another delivery period has been agreed. If delivery within 30 days or otherwise agreed delivery time is not possible (because the ordered is out of stock or no longer available), or there is a delay for other reasons, or an order can not or only partially be performed, then the consumer receives notice within 1 month after placing the order and in that case he has the right to cancel the order without cost and notice.

2.3 JVB Digital’s obligation to deliver will be fulfilled, subject to proof to the contrary, as soon as the goods delivered by JVB Digital have been offered once to the buyer. In the case of home delivery, the carrier’s report of refusal of acceptance shall serve as full proof of the offer to deliver.

2.4 All deadlines mentioned on the website are indicative. No rights can therefore be derived from the deadlines mentioned.

Prices

3.1 Prices will not be increased within the term of the offer, unless legal measures make it necessary or if the manufacturer implements interim price increases.

3.2 All prices on the site are subject to printing and typographical errors. No liability is accepted for the consequences of printing and typesetting errors.

3.3 Unless otherwise stated, all prices on the website are in Euros and include 21% VAT for all shipments within the EU.

3.4 The use of discount codes or coupons is excluded for current offers or promotions.

Trial period / right of withdrawal

4.1 If there is a consumer purchase, in accordance with the Distance Selling Act (Article 7:5 BW), the buyer has the right to return (part of) the delivered goods within a period of 14 working days without giving reasons. This period begins when the ordered items are delivered. Before returning the goods, the buyer must notify JVB Digital in writing within 14 working days of receipt. If within the trial period of 14 days after receipt, the buyer has not reported to make use of the legal right of return, the sale is a fact. During the cooling-off period, the consumer will handle the product and packaging with care. He shall unpack or use the product only to the extent necessary to assess the nature, characteristics and operation of the product. If he exercises his right of withdrawal, he will return the product to the entrepreneur within 14 days of receipt, in accordance with the reasonable and clear instructions provided by the entrepreneur. The buyer must prove that the delivered items were returned in a timely manner, for example by means of proof of postal delivery. Items must be returned in their original packaging (including accessories and accompanying documentation) and in new condition. Packaged in ( extra ) overbox or packing paper to avoid unnecessary damage (by return stickers, for example) to the original packaging. If the goods have been used, encumbered or damaged in any way at the buyer’s premises, JVB Digital reserves the right to charge depreciation. Subject to the provisions of the preceding sentence, JVB Digital will arrange for reimbursement within 14 days after proper receipt of the return shipment or 14 days after proof of return (in which case the proof of shipment must explicitly state the contents of the return shipment). Upon return of the entire purchase, the full purchase price including any shipping and/or payment charges will be refunded to the customer. When returning only part of the purchases received, only the purchase value of the returned items will be refunded. Additional costs resulting from a more expensive shipping method than the least expensive standard delivery will never be refunded. The return of the delivered goods including warranty claims is entirely at the expense and risk of the customer.

4.2 The right of withdrawal does not apply to:

service contracts, after full performance of the service, and only when performance has begun with the express prior consent of the consumer and the consumer has declared that he loses his right of withdrawal once the entrepreneur has fully performed the contract;
goods or services whose price is subject to fluctuations in the financial market over which the supplier has no control and which may occur within the withdrawal period
goods manufactured to the consumer’s specifications, e.g. custom-made goods, or of a clearly personal nature
products whose shelf life has expired within the 14-day cooling-off period (spoilage).
sealed products that are not suitable for return for health or hygiene reasons and whose seal has been broken after delivery
sealed audio/video or software carriers whose seal has been broken
for goods or services which by their nature cannot be returned, e.g. for reasons of hygiene or which spoil or age quickly
the delivery of individual newspapers and magazines

Data Management

5.1 If you place an order with JVB Digital, your data will be included in JVB Digital’s customer database. JVB Digital abides by the Personal Data Protection Act and will not provide your data to third parties. Please see our Privacy Policy.

5.2 JVB Digital respects the privacy of the users of the website and ensures confidential treatment of your personal data.

5.3 JVB Digital uses a mailing list in some cases. Each mailing contains instructions on how to remove yourself from this list.

Warranty and conformity

6.1 The entrepreneur guarantees that the products and/or services comply with the agreement, the specifications stated in the offer, the reasonable requirements of soundness and/or usability and the legal provisions and/or government regulations existing on the date of the conclusion of the agreement.

6.2 An arrangement offered as a guarantee by the entrepreneur, manufacturer or importer does not affect the rights and claims that the consumer can assert against the entrepreneur in respect of a shortcoming in the fulfillment of the obligations of the entrepreneur on the basis of the law and / or the distance contract.

6.3 If it transpires that the item delivered is wrong, defective or incomplete, the buyer must (before proceeding to return it to JVB Digital) report these defects to JVB Digital in writing within 2 months of discovering the defect. Items must be returned in their original packaging (including accessories and accompanying documentation). Taking into use after the discovery of default, damage occurring after the discovery of default, encumbrance and/or resale after the discovery of default shall completely void this right to complain and return.

6.4 If complaints by the customer are found by JVB Digital to be justified, JVB Digital will repair or replace the delivered goods free of charge, at the choice of the consumer. Any liability of JVB Digital for damages shall be limited to the invoice amount of the goods concerned, or (at the discretion of JVB Digital) to the maximum amount covered by JVB Digital’s liability insurance in the case in question. Any liability of JVB Digital for any other form of damages is excluded, including additional compensation in any form whatsoever, compensation for indirect or consequential damages or damages for lost profits.

6.5 JVB Digital is not liable for damages caused by intent or equivalent intentional recklessness of non-managerial personnel.

6.6 JVB Digital respects Dutch law regarding warranties. On all our products we provide a minimum warranty of two years. This warranty does not apply if: A) The consumer is not the owner with whom the purchase agreement with JVB Digital was entered into, warranty is therefore never transferable. B) and as long as the customer is in default to JVB Digital; C) the customer has repaired and/or modified the delivered goods himself or has had them repaired and/or modified by third parties. D) the delivered items have been exposed to abnormal conditions or otherwise carelessly handled or treated contrary to JVB Digital’s instructions and/or instructions for use on the packaging.

Offers

7.1 Offers are without obligation unless otherwise stated in the offer.

7.2 Upon acceptance of a non-binding offer by the buyer, JVB Digital reserves the right to revoke or depart from the offer within 3 business days of receiving such acceptance.

7.3 Verbal promises shall bind JVB Digital only after they have been expressly confirmed in writing.

7.4 Offers by JVB Digital do not automatically apply to repeat orders.

7.5 JVB Digital cannot be held to its offer if the buyer should have understood that the offer, or any part thereof, contained an obvious mistake or slip of the pen.

7.6 Additions, modifications and/or further agreements shall be effective only if agreed in writing.

Agreement

8.1 An agreement between JVB Digital and a customer is established after an order assignment has been assessed for feasibility by JVB Digital.

8.2 JVB Digital reserves the right, without giving reasons, not to accept orders or assignments or to accept them only under the condition that the shipment is made cash on delivery or after advance payment.

8.3 JVB Digital reserves the right to cancel any order that is (intentionally) incorrect or incomplete.

Images and specifications

9.1 All images; photographs, drawings, etc.; including data on weights, dimensions, colors, images of labels, etc. on the JVB Digital website are approximate only, are indicative and cannot be a reason for compensation or dissolution of the agreement.

Force majeure

10.1 JVB Digital is not liable if and insofar as its commitments cannot be fulfilled due to force majeure.

10.2 Force majeure means any foreign cause, as well as any circumstance, which should not reasonably be at its risk. Delay at or failure to perform by our suppliers, Internet failures, electricity failures, e-mail traffic failures and failures or changes in technology supplied by third parties, transport difficulties, strikes, government measures, delays in supply, negligence on the part of suppliers and/or manufacturers of JVB Digital as well as auxiliaries, sickness of personnel, deficiencies in auxiliary or transport means are expressly considered force majeure.

10.3 JVB Digital reserves the right to suspend its obligations in the event of force majeure and is also entitled to rescind the agreement in whole or in part, or to demand that the content of the agreement be changed in such a way that execution remains possible. Under no circumstances shall JVB Digital be liable to pay any penalty or damages.

10.4 If JVB Digital has already partially fulfilled its obligations when the force majeure occurs, or can only partially fulfill its obligations, it will be entitled to invoice separately the part already delivered or the part that can be delivered and the buyer will be obliged to pay this invoice as if it were a separate contract. However, this does not apply if the part already delivered or deliverable has no independent value.

Liability

11.1 JVB Digital is not liable for damage to vehicles or other objects caused by improper use of the products. Before use, read the instructions on the package and/or consult our website.

Retention of title

12.1 Ownership of all items sold and delivered by JVB Digital to the customer remains with JVB Digital as long as the customer has not paid the claims of JVB Digital under the agreement or previous or subsequent similar agreements, as long as the customer has not yet paid the work performed or to be performed under these or similar agreements, and as long as the customer has not yet paid the claims of JVB Digital for failure to fulfill such obligations, including claims in respect of fines, interest and costs, all as referred to in article 3:92 BW.

12.2 Items delivered by JVB Digital that are subject to retention of title may only be resold in the normal course of business and may never be used as a means of payment.

12.3 The buyer is not authorized to pledge or otherwise encumber the goods subject to retention of title.

12.4 The customer hereby unconditionally and irrevocably authorizes JVB Digital or a third party to be appointed by JVB Digital, in all cases in which JVB Digital wishes to exercise its property rights, to enter all those places where its property will be located and to take the goods with it.

12.5 If third parties seize goods delivered under retention of title or wish to establish or assert rights to them, the Customer is obliged to inform JVB Digital as soon as may reasonably be expected.

12.6 The Customer undertakes to insure and keep insured the goods delivered under retention of title against fire, explosion and water damage as well as against theft and to make the policy of this insurance available for inspection by JVB Digital on first request.

Applicable law/competent court

13.1 All agreements are governed by Dutch law.

13.2 Disputes arising from an agreement between JVB Digital and the buyer, which cannot be solved by mutual consultation, will be settled by the competent court within the district of Amersfoort, unless JVB Digital prefers to submit the dispute to the competent court of the domicile of the buyer, with the exception of those disputes which fall under the competence of the cantonal court.
